Summary

This practice note provides an overview of the techniques for acquiring and financing business acquisitions and some of the legal, business, tax, and regulatory issues related to acquisition financing. This note introduces the general concept of business acquisitions, along with a chart illustrating a fundamental structure, and explains some of the more recent trends in this area. Once we establish that framework, we'll take a closer look at some of the finance-specific terms of an acquisition agreement (including appropriate buyer representations and Xerox provisions) along with tax and regulatory considerations.
