Summary

Two members of the partnership purportedly contracted with the management company to manage the partnership's property. Defendant partner was purportedly designated as the successor managing general partner of the partnership. He was also the sole owner of the management company. The limited liability partner asserted that defendant partner received compensation in violation of the partnership agreement and acted in conflict with the best interest of the partnership by, inter alia, collecting management fees for his company and paying commercially unreasonable fees. The court held that the allegations dealt with nothing more than a disagreement over defendant partner's governance of the partnership as general managing partner.
