Summary

This accommodation notice provides notice from a seller to a buyer that nonconforming goods have been shipped and are being offered as an accommodation. This template includes practical guidance and drafting notes. Under the Uniform Commercial Code (UCC), an order or offer to buy goods for prompt or current shipment is construed as inviting acceptance by the seller by either a prompt promise to ship the goods or prompt or current shipment of conforming or non-conforming goods. However, a shipment of non-conforming goods does not constitute an acceptance if the seller seasonably notifies the buyer that the shipment is offered only as an accommodation to the buyer.
