This form illustrates three ways to specify the law that will govern the interpretation of the contract. One is a simple agreement to be governed by the law of a particular state. Another is a more detailed agreement. The third alternative states that the contract is to be deemed to have been entered into in a particular state.
Two related clauses could be included in the contract. For discussion and a form for a service-of-suit clause (by which a party would agree to submit to the jurisdiction of the courts of a specified state or country), see § 75.254. For discussion and a form of a forum selection clause (by which a party would agree to commence a lawsuit or similar proceeding in a specified state or country), see § 75.255.
