Rights Offering Checklist


Summary

This checklist provides the items that counsel should consider when preparing a rights offering for a publicly traded issuer. Counsel will work closely with the management and board of directors in preparing and completing the offering. A rights offering enables a company to raise capital without diluting the ownership interests of its existing shareholders. It involves issuing "rights" to a company's existing shareholders to purchase additional company shares, usually at a discount to the market price of the shares prior to commencement of the offering. The rights are issued for no consideration and typically provide for a short subscription (or exercise) period.
