Summary

This is a long-form producer agreement in which a motion picture studio directly employs an individual producer to provide his or her services for a theatrical motion picture. This template includes practical guidance, drafting notes, and alternate and optional clauses. In a traditional employment agreement, a studio or production company directly employs an individual producer to provide his or her services for a motion picture. In some instances, however, a producer may prefer to use his or her own corporation or other loan-out entity (which may have previously been formed) in order to take advantage of certain tax benefits, as well as the protection provided by the limitation on personal liability. In such cases, modify this template so that the studio enters into an agreement with the loan-out company ("Lender"), and require the individual producer to sign an Inducement Letter (set forth in Optional Exhibit).
