Summary

This chart summarizes the key requirements of Regulation A (commonly referred to as Regulation A-Plus), a safe harbor from the registration requirements of Section 5 (15 U.S.C. § 77e) of the Securities Act of 1933, as amended (Securities Act) for certain limited offerings by eligible U.S. and Canadian issuers. The rules provide for two tiers of offerings under Regulation: Tier 1, for offerings of securities up to $20 million in a 12-month period; and Tier 2, for offerings up to $50 million in a 12-month period.
