Summary

When negotiating or reviewing a transaction or agreement that involves personally identifiable information (PII) or other types of confidential or sensitive data on behalf of a client, it is essential to consider a multitude of privacy and data security controls. First, the collection, processing, sharing, retention, and destruction of data may be subject to serious federal, state, and/or international legal obligations. Moreover, the amount of data that is collected and generated, and the ease with which it can be accessed or shared (including to unauthorized third parties), creates legal and regulatory risk issues for you, your client, and any persons handling that data.
