Boilerplate Clauses


This boilerplate clauses form contains a selection of clauses that may be used in corporate and commercial agreements of all kinds. Such clauses are incorporated in most contracts, generally towards the end of the agreement. They are non-deal specific provisions that support enforcement of the agreement. This form includes practical guidance and drafting notes.These boilerplate clauses are jurisdiction and industry neutral and as such, require modification to comply with applicable state and industry laws. They are intended for use between two U.S. entities entering into an agreement which anticipates domestic performance.
