This Intellectual Property Security Agreement (Short Form) is used to grant a collateral agent security interests in the intellectual property and related licenses of grantors as collateral for a secured loan transaction. This form is used in addition to a general security agreement that more broadly covers intellectual property. This form includes practical guidance and drafting notes.Separate intellectual property short form security agreements are traditionally executed to be filed with the U.S. Copyright Office and U.S. Patent and Trademark Office, with a separate form for each of the loan group’s copyrights, patents, and trademarks (see Copyright Security Agreement, Patent Security Agreement, and Trademark Security Agreement).
