This template is an Intellectual Property Security Agreement (Short Form) that is used to grant a collateral agent security interests in the intellectual property and related licenses of grantors as collateral for a secured loan transaction. This template is used in addition to a general security agreement that more broadly covers intellectual property. This template includes practical guidance and drafting notes. Separate intellectual property short-form security agreements are traditionally executed to be filed with the U.S. Copyright Office and U.S. Patent and Trademark Office, with a separate form for each of the loan group's copyrights, patents, and trademarks (see Copyright Security Agreement (Short Form), Patent Security Agreement (Short Form), and Trademark Security Agreement (Short Form)).
