Summary

This intellectual property assignment agreement template may be used to assign all of the intellectual property owned or licensed by a seller to a buyer as part of an M&A transaction. This template includes practical guidance and drafting notes. In addition to the general transfer of assets described in the acquisition agreement, a separate assignment agreement, such as this intellectual property assignment agreement, is often required to effect the transfer of intellectual property. Intellectual property assignment agreements are typically filed with the U.S. Patent and Trademark Office and the U.S. Copyright Office to reflect the transfer of intellectual property registered with those offices.
