This form includes practical guidance and drafting notes.The borrower’s organizational documents, resolutions authorizing the acquisition and financing transaction, and good standing certificates are attached as exhibits to the certificate. This form certificate includes a certificate of incumbency that certifies the names, titles, and signatures of the officers of the borrower who have authority to execute binding agreements on behalf of such entity.
