17 C.F.R. § 230.901 et seq. Rules 901 through 905 under the Securities Act, Regulation S provides two safe harbors (one for issuers, the other for resellers) for offers and sales deemed to occur outside the United States, and therefore excluded from the registration requirements of Section 5 of the Securities Act.
