Electronic Transactions


Most states have adopted the Uniform Electronic Transactions Act (UETA), which governs the formation of electronic contracts. UETA only applies to Articles 2 (Sales) and 2A (Leases) of the Uniform Commercial Code (UCC). The federal government has enacted the Electronic Signatures in Global and National Commerce Act (ESIGN Act). The ESIGN Act preempts state law except for states that have enacted UETA in the form promulgated by the National Conference of Commissioners on Uniform State Laws.
