This certification (Section 302 Certification) template is required by Section 302 (15 U.S.C. § 7241) of the Sarbanes-Oxley Act of 2002 (SOX) and Rules 13a-14(a) (17 C.F.R. § 240.13a-14(a)) and 15d-14(a) (17 C.F.R. § 240.15d-14(a)) under the Securities Exchange Act of 1934 (Exchange Act). This template includes practical guidance and drafting notes. Every reporting company, including foreign private issuers (FPIs), must submit a Section 302 Certification signed by its principal executive officer and a Section 302 Certification signed by its principal financial officer with each periodic report filed with the Securities and Exchange Commission (SEC).
