Summary

This template may be used to prepare corporate governance guidelines for a company listed on the New York Stock Exchange (NYSE). Section 303A.09 of the NYSE Listed Company Manual requires listed companies to adopt and disclose corporate governance guidelines. This template includes practical guidance, drafting notes, and optional clauses. Section 303A.09 requires U.S. listed companies to adopt and disclose a set of guidelines and principles that address: (1) director qualification standards, (2) director responsibilities, (3) director access to management and independent advisors, (4) director compensation, (5) director orientation and continuing education, (6) management succession, and (7) annual performance evaluations of the board. These guidelines are intended to provide a framework for a public company's system of corporate governance.
