This practice note discusses how the American Bar Association (ABA) Model Rules of Professional Conduct, and thus many state rules of professional conduct, are still applicable to in-house counsel even though the client-lawyer relationship is unique for in-house counsel and in-house counsel typically function not only as attorneys but also as businesspeople.
