This practice note discusses registration statements on Form S-3 filed with the Securities and Exchange Commission (SEC). Form S-3 is a short-form registration statement under the Securities Act of 1933, as amended (Securities Act), that can be used by companies that have been subject to reporting obligations under the Securities Exchange Act of 1934, as amended (Exchange Act), for at least one year and that satisfy certain other requirements.
