Summary

This letter of intent (LOI) may be used to commence negotiations between parties to a commercial transaction. This template includes practical guidance and drafting notes. This LOI is jurisdiction and industry neutral. As such, counsel should consult applicable state and industry laws prior to finalization. This LOI is also intended for use solely by U.S. parties engaging in business in the U.S. International laws and related concerns are beyond the scope of this document.
