XBRL Reporting Requirements

Summary

This practice note discusses the XBRL(eXtensible Business Reporting Language) reporting requirements for filings with the Securities and Exchange Commission (SEC). Specifically, this practice note provides an overview of (1) XBRL generally, (2) the initial XBRL requirements adopted by the SEC in 2009, and (3) the Inline XBRL requirements adopted in 2018 and other related amendments. While counsel advising an SEC reporting company may not be directly involved with the preparation of the XBRL data files, basic familiarity with its purpose and process is useful.
