This escrow agreement template may be used in connection with a private offering of securities. This template includes practical guidance and drafting notes. The agreement between the issuer and the escrow agent provides for the funds raised in the offering to be held by the escrow agent until a specific offering amount is achieved by a certain date, and then released to the issuer for the closing. The escrow agent will often have its own form of escrow agreement that it will request the parties use.
