Summary

This custodian receipt template may be used in an initial public offering (IPO) in which there are selling stockholders. The custodian for the selling stockholders acknowledges receipt of the net proceeds from the offering and the representative for the underwriters acknowledges receipt of the stock certificates delivered by the custodian. This template includes practical guidance and drafting notes. The custodian receipt is usually not heavily negotiated and may be attached to the closing memorandum to ensure parties have no issues with it prior to closing.
