This template is a training services agreement for use between a service provider and a customer, and provides the terms and conditions under which the service provider will furnish training services and materials to the client. This template includes practical guidance, drafting notes, and alternate and optional clauses. The agreement has been drafted broadly and can be used for variety of training services. If known at the time of contracting, the agreement should include a detailed description of the training services. If the full extent of the services is unknown at the time of contracting or the parties prefer to have a general description, the agreement can provide that the service provider will perform the services as may be mutually agreed upon by the parties.
