This checklist provides a summary of relevant New York Stock Exchange (NYSE) and Nasdaq Stock Exchange (Nasdaq) proxy material disclosure requirements for public companies. The information contained in this checklist must be included in an annual report on Form 10-K if the issuer does not distribute an annual report and proxy statement to shareholders (unless otherwise indicated). Otherwise, this information should be included in the annual report and proxy statement to shareholders. Drafters of a company's proxy statement and annual report may use this checklist as a guide when drafting these documents.
